ProofStrike Terms of Service

Terms governing ProofStrike's public website, controlled pilot, creator authorization, evidence, enforcement, and account use.

Effective date: Upon publication

Last updated: November 4, 2026

1. Agreement and operator

These Terms govern use of the ProofStrike website and any available ProofStrike applications, products, hosted services, pilot programs, and related features (the “Services”). ProofStrike is operated by Chase Gaskins as a sole proprietor under the ProofStrike name (“ProofStrike,” “we,” “us”). Contact: [email protected]. ProofStrike does not publish a business mailing address at this time; a current mailing address may be requested through that email after identity and purpose are verified.

By creating an account, accepting an invitation, ordering a subscription, or using the Services, you agree to these Terms and the Privacy Policy. If acting for a company or rights holder, you represent that you may bind that organization and give the instructions you submit.

2. Availability and controlled-pilot restrictions

Public informational pages do not mean that every described feature is generally available. Features may be in preview, pilot, limited-access, or unavailable states. Access to a controlled pilot is subject to written confirmation of the features, data uses, payment terms, and support offered. Unless explicitly enabled and agreed in production, ProofStrike does not represent that it provides public paid enforcement or continuous monitoring. Available capabilities are determined by the features enabled for your account and any accepted order or pilot terms.

3. Eligibility and accounts

Only people who are 18 years of age or older, can enter binding contracts, and are authorized to represent any named organization may create operational accounts. ProofStrike does not independently verify age through an automated age-verification service. You agree to provide accurate account and rights-holder information, maintain authentication security, promptly report compromise, and avoid sharing credentials. Organization owners and administrators are responsible for invitation and role decisions subject to available controls. We may require additional verification before enabling content scanning, third-party connections, or legal notice submission.

4. Our role: software, not your lawyer

ProofStrike provides technology to organize original works, discover potential unauthorized uses, preserve evidence, assist with notices, and monitor supported sources. We do not provide legal advice or attorney representation, make binding determinations of copyright infringement, guarantee that a Finding is infringing, or guarantee search delisting, content removal, response times, or financial recovery. Search and matching systems may produce false positives, miss content, or encounter technical, contractual, legal, and provider limitations. You are responsible for reviewing the legal basis of enforcement requests and consulting qualified counsel when appropriate.

5. Ownership and license to process content

You retain ownership of works and data you lawfully upload. These Terms do not transfer your copyright to ProofStrike. You grant ProofStrike and service providers used to deliver enabled features a limited, nonexclusive license to store, transform, display within the Services, analyze, compare, and transmit supplied materials only as reasonably necessary to provide features you enable, maintain security, satisfy legal obligations, and follow lawful instructions. This may include creating working copies and records needed to provide the Services or preserve authorized evidence. No general public-redistribution right is granted.

This limited license continues only as necessary for existing notices, authorized third-party transmissions, backups, legitimate evidence preservation, and legal obligations after account termination, subject to the Privacy Policy and applicable law.

You represent that you own or otherwise possess the rights and authorization necessary to submit content, connect accounts, instruct searches, and request enforcement. You must not upload or process content in violation of another person’s rights.

6. Discovery, third-party platforms, and monitoring

Scans and monitoring occur only to the extent supported and configured for your account. Availability, timing, coverage, provider restrictions, and frequency vary. “Monitoring configured” does not mean continuous checking or that a specific source was examined. A provider may block or limit search results. ProofStrike may return candidates requiring human review.

You may not use ProofStrike to circumvent authentication, access controls, provider rules, or restrictions, or to access areas you are not authorized to access.

7. Copyright enforcement authorization

Before submitting a claim through the Services, you represent that you are the owner of the relevant exclusive right or are authorized to act on the owner’s behalf, have examined the material and claim in good faith, and have supplied accurate work identification, allegedly infringing locations, contact information, and required statements.

You authorize ProofStrike to prepare and, only where the feature is enabled and required authorization is recorded, transmit notices and related information to selected recipients. You remain responsible for the substantive accuracy and legal consequences of your statements. Knowingly material misrepresentations can create legal liability, including under 17 U.S.C. § 512(f).

A drafted notice, pending route, provider receipt, delivery acknowledgment, search delisting, source removal, and recurrence are distinct events. One is not proof of another. A notice is not treated as successfully delivered merely because a workflow started. If a recipient or required legal element cannot be verified, a workflow may be held for review rather than sent.

8. Third-party services and destinations

Websites, search providers, hosting platforms, payment providers, and connected accounts are operated independently. Their terms and policies may govern actions taken through or affecting those services. ProofStrike does not control third-party responses or guarantee removal. Sharing a notice may disclose your contact details or allegations to its recipient, including where required by law. Review those privacy implications before authorizing submission.

9. Pricing, subscriptions, credits, and taxes

ProofStrike currently provides controlled-pilot access and does not publish a generally available paid plan or checkout offer. If a paid offering becomes available, the order or checkout presented before purchase must identify the price, currency, billing interval, renewal rules, included usage, limits, taxes where applicable, cancellation method, refund terms, and material restrictions. A purchase creates only the entitlements stated in the accepted order.

If you expressly accept an auto-renewing subscription, ProofStrike may charge the disclosed payment method at the disclosed intervals until cancellation. Material renewal terms and legally required notices and cancellation methods will be provided. Credits, bundles, seat limits, overages, rollover, and expiration are governed only by terms disclosed in the accepted order.

10. Cancellations and refunds

No generally available paid checkout, subscription, or public refund policy is currently offered. Controlled-pilot access does not itself create a paid subscription.

Before a paid offer is enabled, its checkout or accepted order must state the cancellation method, when cancellation takes effect, refund eligibility, and the treatment of unused credits or prepaid amounts. ProofStrike will not impose undisclosed refund, expiration, or cancellation conditions.

11. Acceptable use

You must not submit fraudulent or bad-faith infringement claims, impersonate rights holders, harass targets, threaten recipients, provide false evidence or signatures, alter custody records, bypass plan or access restrictions, attempt unauthorized access, distribute malware, interfere with infrastructure, misuse connected services, scrape restricted content, exploit minors, publish nonconsensual intimate content, infringe others’ rights, or use the Services unlawfully.

We may restrict workflows, request substantiation, suspend access, preserve evidence, or report conduct where justified by risk or legal duties. When feasible, we will provide notice and an appropriate review process, except where doing so would compromise safety, security, or compliance.

12. Evidence and records

We may maintain records documenting how submitted evidence and enforcement requests are handled. Those records do not establish a court’s acceptance, legal ownership, the truth of third-party information, or a guaranteed legal outcome. Some records may be retained despite deletion requests where preservation is legally required or appropriately justified. You must preserve your own original source files and independent records; the Services are not your sole legal backup.

13. Pilot features, changes, and service interruption

During a controlled pilot, access and feature scope may change or be withdrawn. We may maintain, correct, temporarily suspend, or discontinue features to address security, legal obligations, provider limitations, or reliability. We will provide notice when reasonably practicable and required by law. We do not warrant uninterrupted service, universal platform coverage, or a fixed scan interval absent an express service commitment.

14. Intellectual property and feedback

ProofStrike and its licensors retain rights in the ProofStrike name, software, interface, and platform materials, excluding customer-owned content. You receive a limited, revocable, nontransferable license to use the Services within your authorized account and applicable terms. If you voluntarily provide feedback, we may use it to improve the Services without acquiring ownership of your uploaded content. Confidential information and personal data remain subject to applicable confidentiality and privacy duties.

15. Confidentiality and privacy

We handle personal information as described in the Privacy Policy. Organization members may access workspace information according to assigned roles. Because authorized notices may be sent outside ProofStrike, recipient confidentiality is not guaranteed. Do not use the Services as a substitute for privileged attorney-client communication.

16. Disclaimers

TO THE EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THIS DOES NOT EXCLUDE RIGHTS THAT CANNOT LAWFULLY BE WAIVED. PROOFSTRIKE DOES NOT PROMISE A PARTICULAR DETECTION RATE, PROCESSING TIME, ENFORCEMENT RESULT, SEARCH DELISTING, OR CONTENT REMOVAL.

17. Liability

TO THE MAXIMUM EXTENT ALLOWED BY LAW, NEITHER PARTY WILL BE LIABLE TO THE OTHER FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM USE OF THE SERVICES. These Terms do not establish a contractual cap on direct damages. Nothing limits liability that cannot legally be limited or responsibility for fraud, intentional misconduct, or other nonwaivable obligations.

18. Indemnity

These Terms do not impose a contractual indemnity obligation on either party.

19. Governing law and disputes

These Terms are governed by Florida law, without applying choice-of-law rules that would override mandatory consumer-protection law. These Terms do not require mandatory arbitration, waive class-action rights, establish an exclusive venue, or restrict available small-claims rights. Parties should first contact [email protected] to seek informal resolution. Statutory rights and legally mandatory dispute procedures remain unaffected.

20. Termination and survival

You may stop using the Services and request account closure through an available support or account workflow. We may suspend or terminate access for material violations, risk, or legal obligations, subject to applicable law and accepted commitments. Provisions concerning ownership, authorized notices, evidence already shared, preservation, liability, and disputes survive as reasonably necessary. Data handling after termination follows the Privacy Policy and applicable preservation obligations.

21. Changes and notices

We may modify these Terms prospectively. The updated effective date will be shown publicly, and we will give advance notice or request renewed consent where law or a material contract change requires it. Notices may be provided through the application, account email, or website. Continued use does not replace affirmative consent where required by law.
